Important Information<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"9:1-9:84;423-506\">United Kingdom product scope: core tracking is free. Optional loan agreements cost \u00a33.95 per purchase, and eligible release documents cost \u00a35.95 per purchase. These are one-off document purchases, with no UK subscription or automatic renewal. The recurring-membership, minimum-term and billing-cycle cancellation provisions below do not apply to free tracking or these one-off purchases. Your applicable statutory rights remain unchanged.<\/p><ul class=\"[li_&amp;]:mb-0 [li_&amp;]:mt-1 [li_&amp;]:gap-1 [&amp;:not(:last-child)_ul]:pb-1 [&amp;:not(:last-child)_ol]:pb-1 list-disc flex flex-col gap-1 pl-8 mb-3\" data-sourcepos=\"11:1-17:219;508-2494\"><li class=\"font-claude-response-body whitespace-normal break-words pl-2\" data-sourcepos=\"11:1-11:586;508-1093\"><strong>We are a software tool, not a lender or money service.<\/strong> Chipkie is a record-keeping and document-generation platform that helps people who already know each other (such as friends and family) <strong>record<\/strong> a loan, <strong>track<\/strong> repayments, and optionally <strong>create a simple loan agreement<\/strong>. We do <strong>not<\/strong> lend money, make credit or lending decisions, introduce lenders to borrowers, or hold, collect, transfer, transmit, disburse, or process any loan funds. All money is exchanged directly between you and the other party, off-platform, by whatever method you arrange between yourselves.<\/li><li class=\"font-claude-response-body whitespace-normal break-words pl-2\" data-sourcepos=\"12:1-12:313;1094-1406\"><strong>We are an Australian company.<\/strong> The Platform is operated by Chipkie Pty Ltd (ABN 75 663 915 884), an Australian company. These Terms are governed by the law of England and Wales (Section 22), and nothing in them removes the mandatory consumer protections of your home jurisdiction within the UK.<\/li><li class=\"font-claude-response-body whitespace-normal break-words pl-2\" data-sourcepos=\"13:1-13:238;1407-1644\"><strong>Your statutory rights.<\/strong> Nothing in these Terms excludes or limits your rights under the Consumer Rights Act 2015 or other applicable consumer-protection law. Where any term conflicts with those rights, your statutory rights prevail.<\/li><li class=\"font-claude-response-body whitespace-normal break-words pl-2\" data-sourcepos=\"14:1-14:292;1645-1936\"><strong>Minimum term and auto-renewal.<\/strong> Your Membership may be subject to a minimum term, as set out in your Account. Unless cancelled, it automatically renews and your payment method is charged each Billing Cycle until you cancel. You can cancel at any time as described in Sections 10 and 15.<\/li><li class=\"font-claude-response-body whitespace-normal break-words pl-2\" data-sourcepos=\"15:1-15:201;1937-2137\"><strong>14-day cancellation right.<\/strong> If you are a consumer, you usually have 14 days to cancel after signing up. Important exceptions apply if you ask us to start the service immediately \u2014 see Section 11.<\/li><li class=\"font-claude-response-body whitespace-normal break-words pl-2\" data-sourcepos=\"16:1-16:138;2138-2275\"><strong>Privacy.<\/strong> We handle your personal data in accordance with our Privacy Policy at <a class=\"underline underline underline-offset-2 decoration-1 decoration-current\/40 hover:decoration-current focus:decoration-current\" href=\"https:\/\/chipkie.com\/privacy-policy\/\">https:\/\/chipkie.com\/privacy-policy\/<\/a> and the UK GDPR.<\/li><li class=\"font-claude-response-body whitespace-normal break-words pl-2\" data-sourcepos=\"17:1-17:219;2276-2494\"><strong>Liability.<\/strong> Our liability is limited as set out in Section 18, but we do not exclude liability where the law does not allow us to (for example, for death or personal injury caused by our negligence, or for fraud).<\/li><\/ul><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"19:1-19:17;2496-2512\">2. Disclaimer<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"21:1-21:554;2514-3067\">Our Platform and the content on it (including any recommendations, comparisons, tools, information, insights, templates, or resources, together the <strong>Content<\/strong>) are provided for general information purposes only. The Content is not legal, financial, tax, accounting, credit, lending, investment, or other professional advice, and you must not rely on it as such. Chipkie is not a lender, broker, loan originator, payment service provider, debt collector, credit reference agency, or financial, legal, or tax adviser, and provides none of those services.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"23:1-23:507;3069-3575\">While we use reasonable endeavours to keep information up to date, we do not warrant that all Content is accurate or current, and we do not guarantee that any recommendation featured on our Platform is more suitable than options not featured. It is your responsibility to determine the suitability and usefulness of our Platform and Content, and to ensure that any loan you record or document complies with all laws that apply to you and the other party. This Section does not affect your statutory rights.<\/p><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"25:1-25:19;3577-3595\">3. Introduction<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"27:1-27:203;3597-3799\">These terms and conditions (<strong>Terms<\/strong>) are entered into between <strong>Chipkie Pty Ltd (ABN 75 663 915 884)<\/strong> (<strong>we<\/strong>, <strong>us<\/strong>, or <strong>our<\/strong>) and you, together the <strong>Parties<\/strong> and each a <strong>Party<\/strong>.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"29:1-29:387;3801-4187\">We provide a cloud-based, software-as-a-service platform that lets users \u2014 including a person lending funds (<strong>Lender<\/strong>) and a person borrowing funds (<strong>Borrower<\/strong>), who already have a personal relationship with one another (such as friends or family) \u2014 <strong>create and record<\/strong> a personal loan, <strong>track<\/strong> repayments, and optionally <strong>generate a simple loan agreement<\/strong> (the <strong>Platform<\/strong>).<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"31:1-31:416;4189-4604\">We are a documentation and record-keeping tool only. We do <strong>not<\/strong> match, introduce, or connect Lenders and Borrowers who do not already know each other; we do <strong>not<\/strong> lend money or make any lending or credit decision; and we do <strong>not<\/strong> receive, hold, collect, disburse, transmit, or otherwise handle any loan funds. Any movement of loan funds happens directly between you and the other party, outside the Platform.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"33:1-33:92;4606-4697\">In these Terms, <strong>you<\/strong> means the person or entity registered with us as an Account holder.<\/p><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"35:1-35:38;4699-4736\">4. Acceptance and Platform Licence<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"37:1-37:96;4738-4833\">You accept these Terms by accepting them on the Platform or by accessing or using the Platform.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"39:1-39:176;4835-5010\">You must be at least 18 years old and resident in the United Kingdom to use the UK section of the Platform. By using the Platform you confirm that you meet these requirements.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"41:1-41:585;5012-5596\">We may amend these Terms at any time by giving you reasonable notice (which may be by email, in-Platform notice, or by posting the updated Terms). If a change adversely affects your rights, you may cancel your Membership with effect from the date of the change by giving us written notice; if you have paid Fees upfront, we will refund you on a pro-rata basis for the unused period. Your continued use of the Platform after the change takes effect amounts to acceptance of the amended Terms. This Section does not affect your right to cancel under Section 11 or your statutory rights.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"43:1-43:252;5598-5849\">If you access or download our mobile application from (1) the Apple App Store, you agree to any Usage Rules in the App Store Terms of Service; or (2) the Google Play Store, you agree to the Google Play Terms of Service and any applicable Google terms.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"45:1-45:293;5851-6143\">Subject to your compliance with these Terms, we grant you a personal, non-exclusive, royalty-free, revocable, worldwide, non-transferable, non-sublicensable licence to access and use our Platform in accordance with these Terms. All other uses are prohibited without our prior written consent.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"47:1-47:107;6145-6251\">When using the Platform, you must not do, or attempt to do, anything unlawful or inappropriate, including:<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"49:1-54:70;6253-6937\">(a) anything that would breach an individual&#8217;s privacy (including uploading personal data without that individual&#8217;s consent) or any other legal right; (b) using the Platform to defame, harass, threaten, menace, or offend any person, including sending unsolicited electronic messages; (c) tampering with or modifying the Platform (including transmitting viruses or trojan horses); (d) using data mining, robots, screen scraping, or similar data-gathering or extraction tools on the Platform; (e) using the Platform to commit any unlawful act, including money laundering, fraud, or unlawful or unlicensed lending; or (f) facilitating or assisting any third party to do any of the above.<\/p><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"56:1-56:23;6939-6961\">5. Chipkie Services<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"58:1-58:430;6963-7392\">In consideration of your payment of the Fees, we agree to provide you with access to the Platform and any other services set out in your Account. Those services consist of tools to record a loan, track repayments, and generate loan documentation. <strong>We do not provide, and the Platform does not include, any funds-handling, payment-processing, lending, brokering, collection, or escrow service in respect of loans between users.<\/strong><\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"60:1-60:302;7394-7695\">We will supply the Platform with reasonable care and skill, as required by the Consumer Rights Act 2015. From time to time we may carry out reasonable scheduled and emergency maintenance, and the Platform may be unavailable during those times; we will use reasonable endeavours to minimise disruption.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"62:1-62:208;7697-7904\">If you are unable to access the Platform, or you have any other question or issue affecting your use of the Platform, you may contact us by email, and we will endeavour to respond within a reasonable period.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"64:1-64:505;7906-8410\">You acknowledge that the Platform may rely on or interface with third-party systems we do not provide (for example, cloud storage providers, CRM systems, payment processors for membership Fees, e-signature providers, and internet providers) (<strong>Third Party Services<\/strong>). We are not responsible for Third Party Services or for any unavailability of the Platform caused by a failure of a Third Party Service, except to the extent such unavailability results from our failure to use reasonable care and skill.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"66:1-66:300;8412-8711\">You acknowledge that data loss is a risk when using any software, and you agree to keep your own backup copy of any data you input into the Platform. We are not liable for loss or corruption of data except to the extent it is caused by our negligence or our failure to use reasonable care and skill.<\/p><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"68:1-68:15;8713-8727\">6. Accounts<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"70:1-70:89;8729-8817\">You must register and create an account (<strong>Account<\/strong>) to access the Platform&#8217;s features.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"72:1-72:169;8819-8987\">You must provide basic information when registering, including your contact name, address, phone number, and email address, and you must choose a username and password.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"74:1-74:271;8989-9259\">You may also register using a Facebook, Google, or other social media account (<strong>Social Media Account<\/strong>). If you sign in using a Social Media Account, you authorise us to access certain information on it, including your current profile photo and other basic information.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"76:1-76:85;9261-9345\">All personal data you provide will be treated in accordance with our Privacy Policy.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"78:1-78:207;9347-9553\">You agree to provide and maintain accurate, current information in your Account and not to share your password with any other person. Your Account is personal; you must not transfer or provide it to others.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"80:1-80:337;9555-9891\">You are responsible for keeping your Account details, username, and password confidential, and you will be responsible for activity carried out under your Account, except to the extent it results from our breach or from unauthorised access that is not your fault. You agree to notify us promptly of any unauthorised use of your Account.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"82:1-82:183;9893-10075\">When you create an Account, you must also select a membership (<strong>Membership<\/strong>). You may choose between different tiers with different services and periods as set out on the Platform.<\/p><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"84:1-84:28;10077-10104\">7. Identity Verification<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"86:1-86:206;10106-10311\">We may require you to provide information to validate your Account using a third-party verification service (<strong>Third Party ID Service<\/strong>), including where reasonably necessary or required by applicable law.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"88:1-88:182;10313-10494\">You agree to provide any information or documentation reasonably required by us or a third-party provider to verify your identity in connection with your Account or any loan record.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"90:1-90:375;10496-10870\">By registering, you acknowledge and agree that (1) we may liaise with Third Party ID Services to validate your identity and information (<strong>Identity Check<\/strong>); and (2) a Third Party ID Service may provide us with your personal data, and you consent to us receiving and using that information to perform an Identity Check, in accordance with our Privacy Policy and the UK GDPR.<\/p><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"92:1-92:34;10872-10905\">8. Loan Documentation Services<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"94:1-94:23;10907-10929\">The Platform lets you:<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"96:1-98:74;10931-11260\">(a) as a Lender, create and record a loan and invite a Borrower (a person you already know) to view or confirm it; (b) as a Borrower, create and record a request to document a loan and invite a Lender (a person you already know) to view or confirm it; and (c) as a Lender or Borrower, record and track repayments (as applicable).<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"100:1-100:401;11262-11662\">To create or record a loan, you must provide the information requested on the Platform, including: (a) the amount to be lent or borrowed (<strong>Loan Amount<\/strong>); (b) any interest on the Loan Amount, expressed as a percentage (<strong>Loan Interest<\/strong>); and (c) the duration and repayment frequency and schedule (<strong>Repayment Plan<\/strong>), including the amount to be repaid and the repayment dates (<strong>Repayment Dates<\/strong>).<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"102:1-102:336;11664-11999\">When the other party confirms a recorded loan, it becomes a <strong>Confirmed Loan<\/strong> for tracking purposes, and the Parties may choose to generate a loan agreement through the Platform if that option is available to them. You may be charged an additional fee to generate a loan agreement, as set out on the Platform (<strong>Loan Agreement Fee<\/strong>).<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"104:1-104:479;12001-12479\"><strong>Important \u2014 no money handling.<\/strong> The Platform records and tracks loan information and generates documents only. We do <strong>not<\/strong> collect, hold, transmit, disburse, or process any Loan Amount, Loan Interest, repayment, or other loan funds. Recording a repayment in the Platform is an informational entry only; it is not a payment and does not cause any funds to move. All loan funds move directly between you and the other party, by whatever method you arrange between yourselves.<\/p><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"106:1-106:60;12481-12540\">9. Your Responsibilities; No Lending or Collection by Us<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"108:1-108:310;12542-12851\">We only make the Platform available; we do not loan money, make lending or credit decisions, broker or arrange loans, or collect payments. We are not a party to any agreement, loan, or arrangement between a Lender and a Borrower, and we have no control over the conduct of any Lender, Borrower, or other user.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"110:1-110:565;12853-13417\">You are solely responsible for: (a) deciding whether to enter into, and the terms of, any loan; (b) ensuring that any loan you record or document, including any interest rate, complies with all applicable laws (including consumer-credit, interest, and licensing laws) and that no authorisation is required of you; (c) actually making or receiving repayments directly with the other party, and recording or tracking them accurately if you choose to; and (d) any tax consequences of your loan. We do not determine, collect, withhold, or remit any tax on your behalf.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"112:1-112:275;13419-13693\">You acknowledge that the Platform&#8217;s output relies on the accuracy and completeness of the information you provide. We are not liable for any loss caused by inaccurate or incomplete information you provide, except to the extent the loss results from our breach or negligence.<\/p><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"114:1-114:48;13695-13742\">10. Memberships, Fees, VAT, and Auto-Renewal<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"116:1-116:239;13744-13982\">You may purchase a Membership by paying the membership fees set out on the Platform (<strong>Fees<\/strong>) in advance on a recurring interval disclosed to you before payment (<strong>Billing Cycle<\/strong>). Prices shown to consumers include VAT where applicable.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"118:1-118:731;13984-14714\"><strong>Automatic renewal.<\/strong> Your Membership will automatically renew at the end of each Billing Cycle for the same period, and your payment method will be charged the then-current Fees for each subsequent Billing Cycle, <strong>until you cancel<\/strong>. We will give you clear information about the renewal before you subscribe and, where required by law, send you reminders before renewal. <strong>You may cancel at any time<\/strong> through the &#8220;close my account&#8221; or cancellation feature in your Account, or by emailing us, and cancellation takes effect at the end of the current Billing Cycle (or end of any applicable minimum term). Cancelling is straightforward and will not require you to take any step more difficult than the step you took to subscribe.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"120:1-120:221;14716-14936\">We may use a third-party payment processor, and your use of it may be subject to additional terms. We do not store your full card details; payment information is collected and stored by our third-party payment processor.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"122:1-122:169;14938-15106\">You must not pay, or attempt to pay, the Fees by fraudulent or unlawful means. If you pay by debit or credit card, you confirm that you are authorised to use that card.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"124:1-124:387;15108-15494\"><strong>Changes to your Membership.<\/strong> To change your Membership (for example, to upgrade), you must notify us through your Account at least 48 hours before the end of the current Billing Cycle. If you upgrade and the Fees increase, we will charge the increase on a pro-rata basis for the remainder of the current period, and you will receive the additional features once that payment is made.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"126:1-126:429;15496-15924\"><strong>Changes to Membership inclusions and Fees.<\/strong> We may change what is included in your Membership, or the Fees, from time to time on at least 30 days&#8217; notice. If a change adversely affects you, you may cancel with effect from the date the change applies by giving written notice, and we will refund any prepaid, unused Fees on a pro-rata basis. This does not affect your statutory rights or your right to cancel under Section 11.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"128:1-128:120;15926-16045\">Except as set out in these Terms or required by law, Fees are non-refundable once the relevant Billing Cycle has begun.<\/p><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"130:1-130:56;16047-16102\">11. Your Right to Cancel (14-Day Cooling-Off Period)<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"132:1-132:231;16104-16334\">If you are a consumer, you have the right to cancel this contract within <strong>14 days<\/strong> of entering into it, without giving any reason, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"134:1-134:333;16336-16668\">To cancel, simply tell us within the 14-day period \u2014 for example, by email to the address in Section 23, or by using the cancellation feature in your Account. You may use the model cancellation form, but you do not have to. If you cancel in time, we will refund the Fees you have paid, using the same payment method, within 14 days.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"136:1-136:485;16670-17154\"><strong>Immediate access.<\/strong> Because the Platform is digital content and services supplied online, if you ask us to begin providing the service during the 14-day period, you acknowledge that: (a) you expressly request immediate performance; and (b) you will lose your right to cancel once the service has been fully performed, and you may be charged for the value of any service already provided up to the point you cancel. You will be asked to confirm this before you gain immediate access.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"138:1-138:88;17156-17243\">This Section does not affect any other right to cancel or any of your statutory rights.<\/p><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"140:1-140:48;17245-17292\">12. Electronic Communications and Signatures<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"142:1-142:268;17294-17561\">By creating an Account or using the Platform, you agree that we may communicate with you electronically (by email, through the Platform, or by other electronic means), and that electronic communications satisfy any legal requirement that communications be in writing.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"144:1-144:348;17563-17910\">You agree that electronic signatures and electronic records may be used in connection with the Platform, including any loan agreement you generate or sign through the Platform, and that they are valid and enforceable under the Electronic Communications Act 2000 and applicable UK law. You may request a paper copy of any document by contacting us.<\/p><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"146:1-146:33;17912-17944\">13. Our Intellectual Property<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"148:1-148:282;17946-18227\">You acknowledge that any intellectual property or content (including copyright and trade marks) available on the Platform, the Platform itself, and any algorithms or machine-learning models used on the Platform (<strong>Our Intellectual Property<\/strong>) will at all times remain vested in us.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"150:1-150:318;18229-18546\">We authorise you to use Our Intellectual Property solely for your personal use. You must not exploit Our Intellectual Property for any other purpose, nor allow or assist any third party to do so. You may access Our Intellectual Property only on your personal device, and you may not use it for any commercial purpose.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"152:1-152:468;18548-19015\">You must not, without our prior written consent: (a) copy, in whole or in part, any of Our Intellectual Property; (b) reproduce, retransmit, distribute, disseminate, sell, publish, broadcast, or circulate any of Our Intellectual Property to any third party; or (c) breach any intellectual property rights connected with the Platform, including by altering, modifying, downloading, framing, or embedding Our Intellectual Property, or creating derivative works from it.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"154:1-154:423;19017-19439\">Nothing above restricts your ability to publish, post, or repost Our Intellectual Property on your social media page or blog, provided that: (a) you do not claim ownership; (b) unless we agree in writing, you do not claim you are endorsed or approved by us; (c) you do not damage or take unfair advantage of our reputation in a manner that is illegal, unfair, misleading, or deceptive; and (d) you comply with these Terms.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"156:1-156:64;19441-19504\">This Section survives termination or expiry of your Membership.<\/p><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"158:1-158:41;19506-19546\">14. Copyright Complaints and Takedown<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"160:1-160:574;19548-20121\">We respect intellectual property rights and expect you to do the same. If you believe that content on the Platform infringes your copyright or other rights protected under the Copyright, Designs and Patents Act 1988, please notify us in writing at the address in Section 23 with: (a) your contact details; (b) identification of the work and the allegedly infringing material, with enough information to locate it; (c) a statement that you have a good-faith belief the use is not authorised; and (d) confirmation that you are the rights holder or authorised to act for them.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"162:1-162:186;20123-20308\">We will review valid notices and may remove or disable access to the relevant material. We may, in appropriate cases, suspend or terminate the Accounts of users who repeatedly infringe.<\/p><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"164:1-164:19;20310-20328\">15. Termination<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"166:1-166:380;20330-20709\"><strong>Cancellation of Memberships.<\/strong> You may cancel your Membership at any time by notifying us by email or using the &#8220;close my account&#8221; feature in your Account. Cancellation takes effect at the end of the current Billing Cycle or the end of any minimum period set out in your Account. This is in addition to your 14-day cancellation right under Section 11 and your statutory rights.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"168:1-168:381;20711-21091\">A Membership terminates immediately upon written notice by a Party (<strong>Non-Defaulting Party<\/strong>) if: (a) the other Party (<strong>Defaulting Party<\/strong>) materially breaches these Terms and does not remedy the breach within 10 business days of being notified (where the breach is capable of remedy); or (b) the Defaulting Party becomes insolvent or is unable to pay its debts as they fall due.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"170:1-170:142;21093-21234\">If we reasonably suspect you are in serious breach of these Terms, we may suspend your access while we investigate, and we will let you know.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"172:1-172:321;21236-21556\">Upon expiry or termination: (a) we will remove your access to the Platform; and (b) where we terminate due to your unremedied material breach, you agree to pay our reasonable costs directly arising from the termination. Where termination is due to our breach, we will refund any prepaid, unused Fees on a pro-rata basis.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"174:1-174:127;21558-21684\">Termination will not affect any accrued rights or liabilities. This Section survives termination or expiry of your Membership.<\/p><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"176:1-176:39;21686-21724\">16. Your Obligations and Warranties<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"178:1-178:16;21726-21741\">You agree that:<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"180:1-188:88;21743-22852\">(a) you will not use our Platform, including Our Intellectual Property, in any way that competes with our business; (b) there are no legal restrictions preventing you from entering into these Terms; (c) all information you provide to us is true, correct, and complete; (d) you authorise us to disclose your card-related details and related information to third parties (including Visa and Mastercard) for the purpose of preventing fraud and other unlawful behaviour; (e) you will cooperate reasonably with us to investigate any suspected unlawful, fraudulent, or improper activity on your Account or use of the Platform; (f) you understand that any information, material, work, or services we provide do not constitute legal, financial, credit, lending, tax, or risk-management advice; (g) you have a pre-existing personal relationship with the other party to any loan you record, and we did not introduce or match you; (h) any loan you record or document complies with all laws applicable to you and the other party; and (i) we are not a party to any loan or agreement you may have with a Borrower or Lender.<\/p><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"190:1-190:35;22854-22888\">17. Our Service and Disclaimers<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"192:1-192:384;22890-23273\">We will provide the Platform with reasonable care and skill. Where you are a consumer, you have legal rights under the Consumer Rights Act 2015, including that digital content and services must be of satisfactory quality, fit for purpose, and as described, and that services must be provided with reasonable care and skill. <strong>Nothing in these Terms excludes or limits those rights.<\/strong><\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"194:1-194:509;23275-23783\">Subject to your statutory rights, and except as expressly stated in these Terms, the Platform and Content are provided without further warranties of any kind, whether express or implied. In particular, subject to your statutory rights, we do not warrant that the Platform will be uninterrupted or error-free, or that any document generated through it will be legally sufficient or enforceable in your particular circumstances. We recommend you take your own advice on any loan agreement before relying on it.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"196:1-196:64;23785-23848\">This Section survives termination or expiry of your Membership.<\/p><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"198:1-198:31;23850-23880\">18. Limitation of Liability<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"200:1-200:335;23882-24216\"><strong>Nothing in these Terms limits or excludes our liability for:<\/strong> (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any breach of the terms implied by the Consumer Rights Act 2015 that cannot lawfully be excluded; or (d) any other liability that cannot be excluded or limited by law.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"202:1-202:32;24218-24249\">Subject to the paragraph above:<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"204:1-206:429;24251-24943\">(a) we will not be liable for any loss or damage that was not reasonably foreseeable, or for any Consequential Loss; (b) where you are a consumer, we will not be liable for any loss arising from your use of the Platform for any commercial or business purpose; and (c) our total liability to you arising from or in connection with these Terms (whether in contract, tort (including negligence), breach of statutory duty, or otherwise) will be limited to the greater of (i) the Fees you paid in the 12 months immediately before the event giving rise to the liability (or, where less than 12 months of Fees have been paid, an amount equal to 12 months of Fees on a pro-rata basis), and (ii) \u00a3100.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"208:1-208:622;24945-25566\">Subject to the first paragraph of this Section, we will not be liable for loss arising from: (a) interruptions or downtime due to scheduled or emergency maintenance; (b) your own acts or omissions; (c) use of the Platform by a person other than you, or other than as contemplated by these Terms; (d) goods, services, or materials not provided by us; (e) <strong>any loan, agreement, dispute, default, non-payment, or other dealing between you and a Lender or Borrower, including the conduct or solvency of the other party<\/strong>; (f) inaccurate or incomplete information you provide; or (g) any event outside our reasonable control.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"210:1-210:64;25568-25631\">This Section survives termination or expiry of your Membership.<\/p><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"212:1-212:17;25633-25649\">19. Indemnity<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"214:1-214:644;25651-26294\">To the extent permitted by law, you agree to be responsible for, and to reimburse us for, any loss, damage, cost, or expense (including reasonable legal costs) we reasonably incur arising from or connected with: (a) your breach of these Terms; (b) your unlawful, negligent, or wrongful conduct; (c) Your Data; or (d) any loan, agreement, or dispute between you and any Lender or Borrower, in each case to the extent the loss is caused by you. This Section does not apply to the extent the loss results from our own breach or negligence, and does not affect your statutory rights. This Section survives termination or expiry of your Membership.<\/p><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"216:1-216:41;26296-26336\">20. Complaints and Dispute Resolution<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"218:1-218:221;26338-26558\">If you have a complaint, please contact us first using the details in Section 23, and we will try to resolve it promptly. We aim to acknowledge complaints quickly and to work with you in good faith to reach a resolution.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"220:1-220:529;26560-27088\">If we cannot resolve a dispute between us, the Parties will consider resolving it through alternative dispute resolution (such as mediation) before starting court proceedings, although neither Party is obliged to do so and nothing prevents either Party from going to court. As a consumer, you may always bring proceedings in the courts, and you keep all rights available to you under consumer law. Nothing in this Section requires you to give up your right to take a dispute to court or to use any statutory complaint mechanism.<\/p><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"222:1-222:41;27090-27130\">21. Notice Regarding Apple and Google<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"224:1-224:969;27132-28100\">To the extent you use our Platform on an iOS device, these Terms are between you and us only, not with Apple Inc. (<strong>Apple<\/strong>), and Apple is not responsible for the Platform or its content. Apple has no obligation to provide maintenance or support. If our mobile application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation, and any claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty will be our responsibility, subject to these Terms and your statutory rights. Apple is not responsible for addressing claims relating to the application, including product-liability, regulatory, and consumer-protection claims, or any third-party intellectual-property claim. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"226:1-226:204;28102-28305\">To the extent you access the Platform via the Google Play Store, you agree to comply with the applicable Google Play Terms of Service, and you acknowledge that Google is not responsible for the Platform.<\/p><h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"228:1-228:15;28307-28321\">22. General<\/h2><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"230:1-230:284;28323-28606\"><strong>Assignment.<\/strong> You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms to another organisation; we will tell you in writing if we do, and this will not affect your rights under these Terms.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"232:1-232:275;28608-28882\"><strong>Assignment of debt.<\/strong> We may assign or transfer any debt you owe <strong>us<\/strong> (for example, unpaid Fees) to a debt-collection agency or other third party. This relates only to amounts you owe us; we do not collect, assign, or transfer any loan debt between you and another user.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"234:1-234:483;28884-29366\"><strong>Governing law and jurisdiction.<\/strong> These Terms are governed by the law of England and Wales. You and we agree that the courts of England and Wales have jurisdiction, except that if you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in your home jurisdiction, and you benefit from any mandatory consumer protections of that jurisdiction. Nothing in this clause removes any statutory right you have as a consumer. <em>(See drafting note below.)<\/em><\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"236:1-236:370;29368-29737\"><strong>Force majeure.<\/strong> Neither Party is liable for any delay or failure to perform caused by an event outside its reasonable control (a <strong>Force Majeure Event<\/strong>), provided the affected Party promptly notifies the other and uses reasonable endeavours to minimise the impact. This does not affect your right to cancel or to a refund where the service is significantly delayed.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"238:1-238:154;29739-29892\"><strong>Notices.<\/strong> Any notice must be in writing and may be sent by post or email to us at the details in Section 23, or to you at the details in your Account.<\/p><p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"240:1-240:253;29894-30146\"><strong>Data protection.<\/strong> We process personal data in accordance with our Privacy Policy, the UK GDPR, and the Data Protection Act 2018.
